1. Acceptance of Terms Welcome to New Empire Digital. By accessing our website (newempiredigital.com), utilizing our client portal (newstart.com), or purchasing our digital infrastructure and telemetric services, you agree to be bound by these Terms of Use. If you do not agree with any part of this protocol, you must not use our services.

2. Operational Definitions

• "Digital Node" refers to any website, directory listing, or web application deployed by our engineers on your behalf.

• "Telemetric Ops" refers to our remote I.T., AI training, and systems routing consulting services.

• "The Client" refers to you, the business founder or representative utilizing our infrastructure.

3. Intellectual Property & "Sovereign Ownership" We believe in empowering founders, which requires clear lines of digital ownership:

​

• Your Content: You retain 100% ownership of all text, logos, images, and data you provide to us through the Velocity Intake Form or other communications.

• Our Architecture: New Empire Digital retains ownership of the underlying codebases, proprietary templates, deployment workflows, and AI prompting structures used to build your node.

• Sovereign Transfer: Under the Sovereign Plan, once a site is transferred to your Wix account, you are granted a non-exclusive, non-transferable license to operate that specific digital architecture for your business. You may not resell, clone, or redistribute our architectural templates.

4. Client Responsibilities & Acceptable Use By deploying your infrastructure on our network, you agree not to use our services to:

• Host, transmit, or promote illegal, fraudulent, or highly offensive material.

• Infringe upon the trademarks, copyrights, or intellectual property of third parties.

• Attempt to hack, disrupt, or introduce malicious code into our Shared Enterprise Network.

• Violation of these terms will result in the immediate termination of your digital node without a refund.

5. Deployment SLAs (Service Level Agreements) Our stated deployment times (e.g., 24 hours for Inception, 3-5 days for Sovereign) begin only after you have successfully submitted all required business data via the Velocity Intake Form. Delays in providing necessary assets, domain access, or feedback will extend the deployment timeline.

6. Limitation of Liability Our network is built on enterprise-grade multi-cloud hosting. However, the digital frontier is subject to third-party outages.

• New Empire Digital is not liable for network downtime, data loss, or ranking fluctuations caused by third-party providers (such as Wix, Google, or Base44).

• In no event shall New Empire Digital be liable for any indirect, incidental, or consequential damages, including loss of revenue or lost profits, arising out of your use of our services. Our total liability to you shall not exceed the amount you paid us in the preceding billing cycle.

7. Governing Law & Jurisdiction These Terms of Use shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or dispute resolution shall take place exclusively in the state or federal courts located in Miami-Dade County, Florida.
